1. Agreement to Terms

These Terms of Service are between you and hmm LLC ("Company," "we," "us," or "our"), the operator of hmm? ("Service"). By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

hmm? is an AI-powered tool operated by hmm LLC that translates technical engineering conversations into plain English explanations for product managers and non-technical stakeholders. The Service uses artificial intelligence to analyze text you provide and generate explanations.

The Service is available through multiple channels, including the hmm? web application at tryhmm.com and the hmm? Microsoft Teams app available through the Microsoft Teams Store. All channels are subject to these Terms. Use of the Teams app is also subject to Microsoft's Terms of Service and any applicable Microsoft Teams policies.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

You must provide accurate and complete information when creating an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

"User Content" refers to any text, data, or other content you submit to the Service for translation or analysis.

4.1 Your Rights

You retain all ownership rights to your User Content. By submitting User Content, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

4.2 Your Responsibilities

You represent and warrant that:

• You have the right to submit the User Content
• Your User Content does not violate any third party's rights
• Your User Content does not contain confidential information you are not authorized to share
• Your User Content complies with all applicable laws

4.3 Prohibited Content

You may not submit content that:

• Is illegal, harmful, or fraudulent
• Infringes on intellectual property rights
• Contains malware or malicious code
• Violates any person's privacy rights
• Is designed to abuse or exploit the Service

5. AI-Generated Content Disclaimer

Important: The Service uses artificial intelligence to generate explanations and translations. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or omissions
• The Service does not guarantee the accuracy, completeness, or reliability of any output
• You are solely responsible for reviewing and verifying all AI-generated content before relying on it
• The Service is not a substitute for professional advice (technical, legal, medical, financial, or otherwise)
• You should not make critical business decisions based solely on the Service's output without independent verification

6. Subscription and Payments

6.1 Free Tier

We offer a limited free tier that allows a certain number of translations per month. Free tier limits may change at any time.

6.2 Paid Subscriptions

Paid subscriptions provide additional features and higher usage limits. By subscribing, you agree to:

• Pay the applicable subscription fees
• Automatic renewal unless cancelled before the renewal date
• Provide accurate billing information

6.3 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion for exceptional circumstances.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by hmm LLC and is protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, hmm LLC and its affiliates, officers, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, or goodwill
• Any damages resulting from AI-generated content inaccuracies
• Any damages exceeding the amount you paid us in the twelve (12) months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of AI-generated content

10. Indemnification

You agree to defend, indemnify, and hold harmless hmm LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights
• Your User Content

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver: To the fullest extent permitted by law, you and hmm LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

You have the right to opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to contact@tryhmm.com. If you opt out, all disputes will be resolved exclusively in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
